These Terms of Service ("Terms") are an agreement between you and Sadie AI Ltd ("Sadie", "we", "us", "our") and govern your use of the Sadie service at app.sadieai.co.uk, our website at sadieai.co.uk, and everything we provide through them (together, the "Service").
By applying to join, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is provided for business use only. By using it you confirm that you are using it in the course of a business, trade, or profession, and not as a consumer.

2. Eligibility and your account
- You must be 18 or over and using the Service for a business.
- Access is currently invite-only. You apply to join, and we may approve or decline applications at our discretion.
- You must give accurate information when you register and keep it up to date.
- You are responsible for keeping your login details secure and for everything that happens under your account. Tell us promptly at support@sadieai.co.uk if you think your account has been accessed without your permission.
- One account is for one business. Do not share your login or let others use your account.
3. The Service
Sadie is an AI-assisted admin tool for tradespeople. It can help you manage enquiries, jobs, clients, suppliers, schedules, quotes, invoices, materials lists, voice notes, and related communications.
The Service is actively developed and changing. We add, change, and remove features over time. We may do this without notice, though we will try to give notice of significant changes that affect you.
4. Free trial, founding members, and fees
- Free trial. Early access users receive a free trial period as communicated to you when you join. During the trial you can use the Service at no cost.
- Founding member benefits. Some early users may be offered founding member benefits. Any such benefits are as set out in the communication offering them to you.
- Paid subscription. Continued use after your trial may require a paid subscription. The fees, billing frequency, and payment terms will be those shown to you at the point you subscribe. We will always tell you the price before you are charged.
- Payments. Payments are taken through a third-party payment processor. By subscribing you authorise us (via that processor) to charge your chosen payment method for the applicable fees.
- Renewal and cancellation. Paid subscriptions renew automatically for further periods unless you cancel before the renewal date. You can cancel at any time; cancellation takes effect at the end of your current paid period, and we do not provide refunds for part-periods unless required by law.
- Changes to fees. We may change our fees. We will give you reasonable notice before a change applies to you, and you can cancel if you do not accept it.
- Taxes. Fees are exclusive of VAT or other taxes unless stated otherwise.
5. Your data and content
- You own your content. You keep all rights in the information, files, photos, and other content you put into the Service ("Your Content").
- Licence to us. You grant us the licence we need to host, process, and display Your Content for the purpose of providing and improving the Service to you.
- Your responsibility. You are responsible for Your Content being accurate, lawful, and not infringing anyone else's rights, and for having the right to upload it.
- Backups. We take reasonable steps to keep Your Content safe, but you are responsible for keeping your own copies of anything important (for example, exporting your invoices for your records).
6. Information about your customers (client data)
When you use Sadie to store and manage information about your own customers and contacts ("Client Data"):
- You are the data controller of that Client Data, and we act as your data processor.
- You confirm you have a lawful basis to collect and use Client Data and that you will comply with UK GDPR and the Data Protection Act 2018 in respect of it.
- As your processor, we will: process Client Data only to provide the Service and on your reasonable instructions; keep it secure; not disclose it except as needed to provide the Service or as required by law; help you respond to data subject requests so far as reasonably practicable; and delete or return it in line with our Privacy Policy when your account ends.
- A separate data processing agreement is available on request and, where it applies, forms part of these Terms.
7. AI features, calculations, and generated content
Sadie uses artificial intelligence and automated calculations to help you draft messages, generate quotes and invoices, estimate materials, schedule work, and carry out other tasks. These are tools to assist you — not a substitute for your own judgement.
- AI-generated and automatically calculated output may be incomplete, inaccurate, or wrong. This includes quotes, invoices, VAT figures, materials lists, prices, durations, schedules, and drafted messages.
- You are responsible for reviewing and checking all output before you rely on it, send it to a client or supplier, or use it in your business. In particular, you are responsible for the accuracy of any quote, invoice, VAT treatment, or financial figure you issue.
- Sadie does not provide accounting, tax, legal, or other professional advice. Obtain professional advice where appropriate.
- We are not responsible for losses arising from AI-generated or calculated output that you did not check.
8. Acceptable use
You agree not to:
- Use the Service unlawfully, or to store or send unlawful, harmful, or infringing content
- Upload anyone's personal data without a lawful basis to do so
- Attempt to access other users' accounts or data
- Copy, resell, sublicense, or make the Service available to anyone outside your business
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as allowed by law
- Interfere with, overload, or disrupt the Service, or attempt to bypass its security or usage limits
- Use the Service to build or train a competing product, or scrape it in bulk
We may suspend or remove content, or suspend access, if we reasonably believe these Terms have been broken.
9. Third-party services
The Service relies on third-party providers (for example Google, Anthropic, OpenAI, Resend, and our hosting provider). Your use of features that depend on them may be subject to their terms, and those services may change, become unavailable, or stop working in ways outside our control. We are not responsible for third-party services, and integrating your own accounts (such as Google) is at your choice and risk.
10. Our intellectual property
The Service, including its software, design, branding, and the "Sadie" and "Sadie AI" names, belongs to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your business while these Terms are in force. Nothing in these Terms transfers any ownership of the Service to you.
If you give us feedback or suggestions, we may use them freely without obligation to you.
11. Availability
We aim to keep the Service available and reliable, but we provide it on an "as available" basis and do not guarantee uninterrupted or error-free operation. We may carry out maintenance, make changes, or suspend the Service where reasonably necessary. We will try to limit disruption and give notice of planned downtime where we can.
12. Data protection
How we handle personal data about you as an account holder is explained in our Privacy Policy (sadieai.co.uk/privacy), which forms part of these Terms. Our handling of Client Data is covered in section 6 above.
13. Suspension and termination
- By you. You can stop using the Service and close your account at any time.
- By us. We may suspend or end your access if you break these Terms, if you fail to pay fees due, or if we reasonably need to (for example, for legal, security, or operational reasons). Where practical and appropriate, we will give notice first.
- Effect. When your account ends, your right to use the Service stops. We will make your data available for export for a reasonable period and then delete it in line with our Privacy Policy, unless we are legally required to keep it.
14. Disclaimers
To the fullest extent allowed by law, the Service is provided "as is" and "as available", and we exclude all implied warranties, including any implied terms about satisfactory quality, fitness for a particular purpose, or accuracy. We do not warrant that the Service will meet your requirements or that its output will be accurate or complete.
15. Limitation of liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Subject to that, and because you use the Service for your business:
- We are not liable for loss of profit, loss of business, loss of revenue, loss of anticipated savings, loss of goodwill, loss of or damage to data, or any indirect or consequential loss.
- We are not liable for losses arising from AI-generated or calculated output you did not review (see section 7), from inaccurate information you entered, or from failures of third-party services.
- Our total liability to you arising out of or in connection with these Terms in any 12-month period is limited to the total fees you paid us in that period — or, if you have paid nothing (for example during a free trial), £100.
16. Indemnity
You agree to cover us for any reasonable losses, claims, or costs we incur because of your breach of these Terms, your misuse of the Service, or the Client Data and content you put into the Service.
17. Changes to these Terms
We may update these Terms from time to time. When we make significant changes, we will update the "Last updated" date and notify you by email or through the Service. If you continue using the Service after a change takes effect, you accept the updated Terms.
18. General
- Governing law. These Terms are governed by the law of England and Wales.
- Jurisdiction. The courts of England and Wales have exclusive jurisdiction over any dispute, although we may bring proceedings in the country where you are based.
- Whole agreement. These Terms, together with the Privacy Policy and any data processing agreement, are the whole agreement between us about the Service.
- Severability. If any part of these Terms is found to be invalid, the rest continues to apply.
- No waiver. If we do not enforce a right, that is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example if our business is reorganised or sold, without affecting your rights.
- Notices. We may give you notices by email or through the Service. You can contact us at support@sadieai.co.uk.
